1. Definitions
In these Terms and Conditions: "Service" means employment law services provided by Setia Counsel; "We/Us/Our" means Setia Counsel, a legal practice at Unit 5-7, Block C, Wisma Setia, Jalan PJU 1/42A, 47301 Petaling Jaya, Selangor; "Client/You" means any individual or entity engaging our services or using this website; "Engagement Agreement" means the written fee agreement signed prior to commencement of any service; "Content" means all information, documents, and materials on this website.
2. Acceptance of Terms
By accessing this website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into an agreement. Use of this website constitutes acceptance of these Terms. If you do not agree, please do not use this website or submit an enquiry.
3. Service Description
Setia Counsel provides three employment law services:
- Employment Contract Review — review of employment contracts and related documents against Malaysian legislation
- Workplace Dispute Resolution — advisory and representation for employment disputes including at the Department of Labour and the Industrial Court
- HR Policy & Compliance Audit — review of internal HR documentation and policies against current Malaysian labour legislation
Services are available to clients in Peninsular Malaysia. Geographic restrictions may apply for certain types of Industrial Court representation.
4. Engagement of Services
No legal services commence until a written Engagement Agreement is signed by both parties and the applicable fee is confirmed. Submitting an enquiry form does not constitute engagement. An initial discussion is provided without charge and without obligation on either party.
5. User Responsibilities
When using this website or our services, you agree to:
- Provide accurate and complete information in all communications and forms
- Not use this website for any unlawful purpose or to transmit harmful content
- Not attempt to gain unauthorised access to any part of our systems
- Not misrepresent your identity or authority to act on behalf of another party
- Cooperate in providing information reasonably required for us to deliver the agreed service
6. Intellectual Property
All content on this website — including text, design, and materials — is owned by or licensed to Setia Counsel and protected under applicable Malaysian intellectual property law. You may access and print website content for personal, non-commercial reference only. Written work products delivered to clients under an Engagement Agreement are licensed for the client's use in relation to the specific matter only. Redistribution or commercial use without written consent is prohibited.
7. Payment Terms
Fees are set out in the Engagement Agreement. Standard service fees are payable in Malaysian Ringgit (RM). Payment is required within 14 days of invoice unless otherwise agreed in writing. We reserve the right to suspend services where payment is overdue. For complex or extended matters, staged billing may be agreed and documented in the Engagement Agreement.
8. Refund Policy
Where a service has not commenced, fees paid in advance will be refunded in full upon written notice of cancellation. Where work has commenced, fees are payable on a proportionate basis for work completed. We do not guarantee specific outcomes in dispute matters, and fees are not refundable on the basis of outcome.
9. Disclaimers
Information on this website is provided for general reference only and does not constitute legal advice. No solicitor-client relationship is formed by viewing website content or submitting an enquiry form. Legal outcomes depend on the specific facts of each matter, which cannot be assessed without an engagement. 10. Limitation of Liability
Our liability to clients under any engagement is limited to the fees paid for the specific service in question, except where such limitation is prohibited by Malaysian law. We are not liable for indirect, consequential, or special damages arising from the use of this website or from any matter handled under an engagement. Nothing in these Terms limits liability for fraud or willful misconduct.
11. Termination
Either party may terminate an Engagement Agreement on 14 days' written notice. We reserve the right to terminate immediately where a client provides false information, fails to pay fees, or engages in conduct inconsistent with professional practice requirements. On termination, client documents will be returned and fees will be settled for work completed up to the termination date.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or our services shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes will be referred to the courts of Malaysia, with Kuala Lumpur as the jurisdiction. We remain subject to the disciplinary jurisdiction of the Malaysian Bar Council in respect of professional conduct matters.
13. General Provisions
These Terms constitute the entire agreement regarding website use. If any provision is held unenforceable, the remaining provisions continue in effect. Failure to enforce any provision does not constitute waiver. These Terms may be updated at any time; continued use of the website following publication of changes constitutes acceptance.
